Welcome to Yiwu ELIO Stationery Co., Ltd. These Terms of Service govern your business relationship with us regarding the purchase and supply of photo frames and related products. By placing an order with us, you agree to be bound by these terms.
1. General Terms
1.1 Acceptance of Terms
By submitting a purchase order, requesting a quotation, or engaging in any business transaction with Yiwu ELIO Stationery Co., Ltd., you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
1.2 Scope of Agreement
These terms apply to all business transactions including but not limited to:
- MDF wooden photo frames
- PS plastic photo frames
- Home decor wall art frames
- Collage picture frames
- Customized photo frame solutions
2. Order Process & Policies
2.1 Quotations
All quotations provided are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change based on raw material costs, exchange rates, and market conditions.
2.2 Order Confirmation
Orders are confirmed upon receipt of:
- Signed purchase order or written confirmation
- Agreed payment terms and deposit (if applicable)
- Complete product specifications and requirements
- Shipping and delivery instructions
2.3 Minimum Order Quantities (MOQ)
Standard MOQ applies per product line. Custom orders may require higher minimum quantities. Specific MOQ will be communicated during quotation.
2.4 Order Modifications
Changes to confirmed orders must be requested in writing. We reserve the right to accept or decline modifications based on production status. Additional charges may apply for order changes after production has commenced.
3. Pricing & Payment Terms
3.1 Pricing
All prices are quoted in USD (or as agreed) and are:
- FOB Yiwu/Ningbo unless otherwise specified
- Exclusive of taxes, duties, and customs charges
- Subject to confirmation at time of order
3.2 Payment Methods
We accept the following payment methods:
- T/T (Telegraphic Transfer)
- L/C (Letter of Credit) at sight
- Other methods by prior agreement
3.3 Payment Terms
Standard payment terms:
- New Customers: 30% deposit, 70% balance before shipment
- Established Customers: Terms negotiable based on credit history
- Sample Orders: 100% payment in advance
4. Production & Delivery
4.1 Lead Times
Standard production lead time is 25-35 days after order confirmation and deposit receipt. Custom orders may require extended lead times. Exact delivery schedules will be confirmed in writing.
4.2 Shipping & Delivery
We arrange shipping according to agreed Incoterms. Buyers are responsible for customs clearance, import duties, and local delivery unless otherwise agreed. Risk transfers according to agreed Incoterms.
4.3 Delays
While we strive for on-time delivery, we shall not be liable for delays caused by force majeure, supplier delays, shipping disruptions, or other circumstances beyond our reasonable control.
5. Quality Standards & Inspection
5.1 Quality Assurance
All products are manufactured according to:
- FSC certification standards
- BSCI management system requirements
- Agreed specifications and samples
- Industry quality standards
5.2 Pre-Shipment Inspection
Buyers may arrange third-party inspection at their own cost. Inspection must be scheduled at least 5 days before planned shipment date.
5.3 Acceptance Tolerance
Industry-standard tolerance of ±3% applies to quantity, dimensions, and color variations unless stricter tolerances are agreed in writing.
6. Warranties & Liability
6.1 Product Warranty
We warrant that products will:
- Conform to agreed specifications
- Be free from material defects in workmanship
- Be suitable for their intended purpose when used properly
6.2 Warranty Claims
Claims must be submitted within 30 days of delivery with:
- Photographic evidence of defects
- Detailed description of issues
- Quantity affected
- Original order documentation
6.3 Limitation of Liability
Our liability is limited to replacement of defective products or refund of purchase price. We shall not be liable for consequential, indirect, or incidental damages including lost profits, business interruption, or third-party claims.
7. Intellectual Property
7.1 Custom Designs
Buyers retain ownership of custom designs provided. We maintain the right to use designs for production purposes only and will not reproduce for other customers without written consent.
7.2 Confidentiality
Both parties agree to maintain confidentiality of proprietary information, trade secrets, and business terms disclosed during the course of business.
8. Compliance & Certifications
8.1 Regulatory Compliance
Our products comply with:
- FSC (Forest Stewardship Council) standards
- BSCI (Business Social Compliance Initiative)
- Applicable EU and US import regulations
- Environmental and safety standards
8.2 Documentation
We provide necessary export documentation including commercial invoice, packing list, and certificates of origin. Additional certifications available upon request.
9. Dispute Resolution
9.1 Governing Law
These terms shall be governed by the laws of the People's Republic of China.
9.2 Dispute Resolution Process
- Good faith negotiations between parties
- Mediation through mutually agreed mediator
- Arbitration in accordance with CIETAC rules
10. General Provisions
10.1 Amendment
We reserve the right to modify these terms. Changes will be communicated to active customers and posted on our website.
10.2 Severability
If any provision is found unenforceable, remaining provisions shall remain in full effect.
10.3 Entire Agreement
These terms, together with specific order confirmations and purchase agreements, constitute the entire agreement between parties.
